An agreement entered into between the Secured Parties and an Asset Manager (AM) or Managing Agent (MA) in which the AM or the MA acknowledges the security over the relevant Properties and in which the parties agree the terms under which the services of the AM or MA, in the event of a default or breach of the owner of the relevant Properties under any agreement, may be continued and under which they may be cancelled.
